hereinafter — Licensor.
1.2.
The party acquiring the right to use the Software is an individual, individual entrepreneur, or legal entity specified in the invoice, commercial offer, specification, contract, or other document on the basis of which the license is granted, hereinafter — Licensee.
1.3.
This Agreement is a license agreement for the granting of a simple (non-exclusive) license to use a computer program.
1.4.
Payment by the Licensee of an invoice, commercial offer, or other payment document containing a reference to this Agreement constitutes full and unconditional acceptance of its terms.
Commencement of use of the Software also confirms the Licensee's familiarity with this Agreement and acceptance of its terms.
2. Subject of the Agreement
2.1.
The Licensor grants the Licensee, for a fee, the right to use the software:
Seenaptec Access Platform
under the terms of a simple (non-exclusive) license within the limits provided for by this Agreement.
2.2.
The exclusive right to the Software remains with the Licensor.
The granting of a license does not constitute alienation of the exclusive right or transfer to the Licensee of any rights to the Software other than those expressly provided for by this Agreement.
2.3.
The scope of the license granted, the Software edition, the number of licensed copies, additional software modules, licensed devices, or other parameters are determined by the invoice, commercial offer, specification, license key, or other document accompanying the acquisition of the license.
3. Scope of Rights Granted
3.1.
Within the scope of the license granted, the Licensee is entitled to:
- install one copy of the Software in accordance with the acquired license;
- launch and operate the Software for its functional purpose;
- use the functions, modules, and capabilities of the Software provided for by the acquired license;
- configure the Software by means and methods provided for by its standard functionality;
- create one archival (backup) copy solely for the purpose of restoring the lawfully used copy of the Software;
- install Software updates provided by the Licensor and available for the corresponding version or edition.
3.2.
One license grants the right to use one instance of Seenaptec Access Platform, unless otherwise expressly provided for by the document on the basis of which the license was acquired.
Installation and operation of additional independent instances of the Software requires the acquisition of the corresponding number of licenses.
3.3.
Technical mechanisms for redundancy, fault tolerance, clustering, virtualization, or other functions in which several instances of the Software are used simultaneously are governed by the scope of the corresponding license or Software edition.
3.4.
The license extends only to those functions, software modules, devices, and other licensed objects the right to use which has been granted to the Licensee.
The mere technical ability to activate or connect a function, module, or device does not in itself constitute the granting of the right to use them.
4. Editions and Additional Licenses
4.1.
Seenaptec Access Platform may be provided in various editions and configurations differing in available functions, limitations, and licensing terms.
4.2.
Individual software modules, functional capabilities, devices, integrations, or other components may be licensed separately.
4.3.
The list of acquired rights is determined by the state of the license issued to the Licensee and the corresponding commercial documents.
4.4.
Migration to another edition, an increase in the number of licensed objects, or the connection of additional capabilities may be carried out by acquiring additional licenses without the need to conclude a new Agreement.
5. Use Restrictions
The Licensee is not entitled, without the prior written permission of the Licensor, to:
- provide the Software or license keys to third parties;
- sell, alienate, lease, lend for temporary use, or otherwise provide third parties with an independent right to use the Software;
- grant sublicenses;
- use one license to operate several independent instances of the Software;
- circumvent, disable, or modify the licensing mechanisms and technical protection means of the Software;
- modify licensing data;
- decompile, disassemble, or reverse engineer the Software, except in cases and within the limits expressly permitted by the legislation of the Russian Federation;
- use program code, libraries, components, or other parts of the Software to create independent software products without separate permission from the Licensor;
- remove or modify information about copyright, the copyright holder, trademarks, and other means of identification;
- provide third parties with access to closed technical documentation, software components, libraries, keys, or other materials provided under a restricted-access license.
6. APIs, Protocols, and Integration Components
6.1.
This license grants the right to use exclusively those APIs, interfaces, and integration capabilities that are included in the corresponding edition or acquired configuration of Seenaptec Access Platform.
6.2.
The provision of documentation for an API, protocol, software library, SDK, or other integration component does not constitute the transfer of the right to independently implement, reproduce, or use the corresponding technology beyond the purpose intended by the Licensor.
6.3.
Software components and technologies for which the Licensor has established separate licensing terms are used exclusively on the basis of the corresponding separate license agreement.
In particular, separate terms may apply to software implementations of protocols, software libraries, SDKs, and other Seenaptec technologies.
7. License Fee
7.1.
The license is granted for a fee, except in cases where the corresponding edition of the Software or a specific license is expressly provided by the Licensor free of charge.
7.2.
The amount of the license fee is determined by the invoice, commercial offer, specification, contract, or other document on the basis of which the Licensee acquires the license.
7.3.
If the acquired package includes several licensed components, the total price may be set for the package as a whole without separately indicating the price of each component.
7.4.
Payment of the corresponding invoice constitutes the Licensee's agreement with the amount of the license fee and the scope of the rights being acquired.
8. License Term
8.1.
The term for which the right of use is granted is determined by the type of license acquired and may be specified in the invoice, commercial offer, specification, licensing data, or other document.
8.2.
If a term is established for a specific license, the right to use the Software ceases upon its expiration, unless the license has been renewed.
8.3.
The cessation of technical support or the release of updates does not in itself terminate the right to use the Software within the term of the corresponding license.
9. Software Updates
9.1.
The Licensor is entitled to release Software updates [insert link to the Software page here], fixes, and new versions.
9.2.
Updates may contain bug fixes, interface changes, new functions, changes to existing functions, support for new devices, and other changes.
9.3.
The terms for providing individual major versions, new editions, or additional modules may differ from the terms for providing current updates.
9.4.
The Licensor is not obliged to keep unchanged the appearance, set of functions, or technical architecture of the Software when releasing updates, unless otherwise expressly provided for by a separate agreement.
10. Technical Support
10.1.
The availability and scope of technical support are determined by the acquired edition of the Software, the terms of delivery, or a separate agreement.
10.2.
The granting of a license to the Software does not in itself constitute the provision of unlimited services for configuration, implementation, integration, development, training, or technical maintenance.
10.3.
Such work and services may be provided separately.
11. Intellectual Property
11.1.
The exclusive right to Seenaptec Access Platform, including program code, architecture, interfaces, original software components, documentation, and other protected results of intellectual activity, belongs to the Licensor or the corresponding copyright holders.
11.2.
This Agreement does not grant the Licensee any right of ownership to the Software or its components.
11.3.
All rights not expressly granted to the Licensee by this Agreement remain with the Licensor.
11.4.
The Software may provide interaction with open standards, protocols, and third-party technologies.
Support for such a standard or protocol in the Software does not constitute a claim by the Licensor to exclusive rights over the corresponding open standard or protocol.
12. Third-Party Components
12.1.
The Software may include components, libraries, or third-party software distributed under their own license terms.
12.2.
The corresponding licenses of their copyright holders apply to such components.
12.3.
The use of third-party components within Seenaptec Access Platform does not grant the Licensee additional rights to independently use such components outside the Software, unless otherwise provided for by the corresponding license.
13. Warranties and Liability
13.1.
The Licensor provides the Software with the functional capabilities provided for by the corresponding version and documentation.
13.2.
The Licensee independently determines the suitability of the Software for its tasks and bears responsibility for the configuration of its own infrastructure, equipment, and third-party software.
13.3.
The Licensor is not liable for malfunctions of the Software caused by:
- failure to comply with the documentation;
- unauthorized modification of the Software;
- failure of third-party equipment;
- operation of third-party software;
- changes to third-party protocols or services;
- actions of the Licensee or third parties;
- circumstances beyond the reasonable control of the Licensor.
13.4.
Limitations of liability apply within the limits permitted by the legislation of the Russian Federation.
14. Termination of the Right of Use
14.1.
The right to use the Software ceases:
- upon expiration of the license term, if the license was granted for a fixed term;
- upon termination of the Agreement on the grounds provided for by law or this Agreement;
- in other cases provided for by law.
14.2.
In the event of a material breach by the Licensee of the licensing terms, including unlawful copying, circumvention of licensing mechanisms, or unlawful transfer of the Software to third parties, the Licensor is entitled to demand cessation of the breach and of the use of the Software in the manner established by the legislation of the Russian Federation.
14.3.
After termination of the right of use, the Licensee is obliged to cease use of the corresponding instance of the Software and to delete copies whose use is no longer permitted.
15. Amendment of the Agreement
15.1.
The current version of this Agreement is posted at the following address.
15.2.
Amendment of the published version of the Agreement does not reduce the scope of rights to use the Software already paid for and granted to the Licensee, unless otherwise expressly provided for by law or by agreement of the parties.
15.3.
The version of the Agreement in effect at the time of their acquisition applies to new licenses and additional rights, unless otherwise established by the parties.
16. Applicable Law and Dispute Resolution
16.1.
The legislation of the Russian Federation applies to this Agreement.
16.2.
The parties shall endeavor to resolve arising disagreements through negotiations and the claims procedure.
16.3.
If settlement is impossible, the dispute shall be resolved in the manner provided for by the legislation of the Russian Federation.
